1. Agreement to these Terms
These Terms of Service (“Terms”) form a binding agreement between you (“you”, “User”) and Foxpers Technologies Private Limited (“Foxpers”, “we”, “us”) for use of Kaaw Kaaw and related Services at https://kaawkaaw.com.
By creating an account, accessing, or using the Services, you agree to these Terms, the Privacy Policy, Acceptable Use Policy, AI Usage Policy, and any other policies linked from the Legal section (collectively, the “Policies”). If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Effective date: 30 July 2026.
2. Eligibility and accounts
You must be at least the age of digital consent in your jurisdiction (and at least 13) to create a personal account, or use the Services only under a parent/guardian or authorized school/organization arrangement that is lawful in your jurisdiction.
You must provide accurate registration information and keep it updated. You are responsible for all activity under your credentials.
One person/entity per account unless we expressly allow shared seats under an organization plan. You may not share passwords or sell/transfer accounts without our written consent.
We may refuse, suspend, or terminate accounts that appear fraudulent, abusive, underage without required consent, or in breach of these Terms.
3. The Services
Kaaw Kaaw is a Learning OS that helps users turn topics and materials into structured learning paths, concept experiences, visuals, practice, and related learning workflows, including AI-assisted generation.
Features may differ by plan, region, beta flag, or organization configuration. We may add, modify, or discontinue features with reasonable notice where practicable.
Beta / experimental features may be unstable, incomplete, or changed/removed without liability.
4. License to use
Subject to these Terms and your plan limits, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal learning or your organization’s internal training/learning purposes.
No other rights are granted. All rights not expressly granted are reserved by Foxpers and its licensors.
5. Your content
“User Content” means topics, text, files, URLs, prompts, notes, answers, feedback, and other materials you submit to the Services.
You retain ownership of User Content to the extent you own it. You grant Foxpers a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative technical representations of User Content solely to operate, secure, improve (including quality evaluation with safeguards), and provide the Services to you and your organization.
You represent and warrant that you have all rights and lawful bases needed to submit User Content and that User Content does not infringe others’ rights or violate law or these Terms.
We may remove or restrict User Content that violates Policies, creates legal risk, or harms the Services.
6. AI outputs and disclaimers
The Services generate AI-assisted outputs (explanations, paths, visuals, suggestions, estimates, storyboards, etc.). Outputs are probabilistic and may contain errors, omissions, bias, or unsafe suggestions.
YOU MUST independently evaluate Outputs before relying on them. Outputs are not a substitute for qualified professional advice, certified education credentials, examinations, or human instruction where those are required.
To the maximum extent permitted by law, Foxpers disclaims responsibility for decisions you make based on Outputs, and for any academic, professional, safety, or commercial consequences of reliance on Outputs.
Attribution and branding: you may not present Outputs as solely human-authored where disclosure is required by law or platform rules, and you may not remove Kaaw Kaaw notices required by the product interface.
7. Intellectual property
The Services, software, models configurations, UX, documentation, trademarks (including Kaaw Kaaw), and all related IP are owned by Foxpers or its licensors.
Except for your User Content and the limited license above, you may not copy, modify, distribute, reverse engineer (except to the limited extent mandatory law allows), or create competing products by systematically extracting our non-public content or interfaces.
Feedback you provide may be used by Foxpers without obligation to you.
8. Acceptable use
You must comply with the Acceptable Use Policy and AI Usage Policy. Prohibited uses include unlawful activity, infringement, malware, unauthorized access, scraping at scale, interfering with others’ use, generating harmful/deceptive content, or attempting to bypass safety, billing, or rate limits.
We may investigate and suspend or terminate access for suspected violations, and report to authorities where appropriate.
9. Plans, fees, and taxes
Some features require a paid subscription or organization contract. Fees, renewals, and taxes are described at purchase or in your order form.
Unless required by law or stated in the Refund Policy / order form, fees are non-refundable.
We may change prices with notice before the next renewal period. Continued use after renewal constitutes acceptance of the new price.
You authorize us and our payment processor to charge applicable fees. Failed payments may result in suspension.
10. Organization / business accounts
Organization admins are responsible for user provisioning, permissions, lawful collection of learner data, and compliance with employment/education privacy rules.
If your seat is provided by an organization, that organization may control, access, export, or delete your workspace data within that organization context, and may end your access.
11. Third-party services
The Services may integrate third-party identity, payment, hosting, storage, analytics, and AI/media providers. Their terms and privacy notices also apply to their processing.
We are not responsible for third-party services outside our reasonable contractual and operational control.
12. Availability and support
We aim for reliable availability but do not guarantee uninterrupted or error-free service. Maintenance, outages, force majeure, provider failures, and security events may occur.
Support is provided via published channels on a commercially reasonable basis unless a separate SLA is signed.
13. Suspension and termination
You may stop using the Services at any time and may request account closure via support channels.
We may suspend or terminate access immediately for Policy breaches, legal risk, non-payment, security threats, or extended inactivity.
Upon termination, your license ends. Provisions that by nature should survive (IP, disclaimers, limitations, indemnity, governing law) survive termination.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.
We do not warrant that the Services will meet your educational outcomes, exam results, or business targets.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXPERS AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LEARNING OUTCOMES, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO FOXPERS FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE CLAIM (OR INR 5,000 IF YOU HAVE NOT PAID ANY FEES).
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; or (d) any other liability that cannot lawfully be excluded or limited under applicable law. The exclusions and caps above apply only to the fullest extent such liability can lawfully be excluded or limited.
Some jurisdictions do not allow certain exclusions; in those cases, our liability is limited to the minimum permitted by law.
16. Indemnity
You will defend and indemnify Foxpers against claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your misuse of the Services/Outputs, your violation of law or these Terms, or your infringement of third-party rights.
17. Export, sanctions, and compliance
You may not use the Services if you are prohibited under applicable sanctions or export-control laws. You must comply with all applicable laws in your use of the Services.
18. Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or power infrastructure failures, government action, or third-party service/provider outages (including AI model, hosting, or payment providers).
19. General provisions
Severability: if any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be interpreted to best reflect its original intent to the extent permitted by law.
Entire agreement: these Terms, together with the Policies and any signed order form or enterprise agreement, constitute the entire agreement between you and Foxpers regarding the Services, and supersede prior agreements on the same subject.
No waiver: our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment: you may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
Notices: we may provide notices to you via the Services, the email on your account, or a prominent notice on our website. You may send legal notices to us at the contact details in Section 21.
Relationship of the parties: nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Foxpers.
20. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Subject to mandatory consumer protections, courts in Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes, unless a signed enterprise agreement specifies otherwise.
Before filing a claim, you agree to attempt good-faith resolution by contacting hello@kaawkaaw.com and allowing 30 days for response.
Nothing in this Section limits any mandatory right you have to bring a claim in your local courts or through a local regulator under consumer-protection or data-protection law that cannot be waived by contract.
21. Changes to Terms
We may update these Terms. Material changes will be posted with an updated date and, where required, notified to you. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Services and close your account.
